These Terms of Service ("Terms") govern your access to and use of the Netsware platform, websites, APIs, dashboards, and related services (together, the "Service"), operated by Netsware Cloud Solutions LLP ("Netsware", "we", "us", or "our"), a limited liability partnership registered in India. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Agreement
These Terms form a binding agreement between you and Netsware. They apply together with our Privacy Policy and Refund Policy, which are incorporated by reference. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.
Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.
Accounts
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at support@netsware.com of any unauthorized use. We may suspend or restrict accounts we reasonably believe are compromised or in breach of these Terms.
API keys and security
API keys are credentials that authenticate requests and carry the ability to act on your account. Keep them confidential; you are responsible for all use made with your keys. We provide controls such as per-key IP allowlists, scopes, and expiry to help you limit exposure.
You must not attempt to probe, scan, or breach the security of the Service, nor use the Service to attack, overload, or gain unauthorized access to any system, including by directing outbound jobs, webhooks, or requests at internal, private, or third-party resources you do not control.
Acceptable use
You agree not to, and not to permit others to:
- use the Service for any unlawful, harmful, infringing, or fraudulent purpose;
- send unsolicited or abusive messages, malware, or content that violates others' rights;
- interfere with or disrupt the Service, or circumvent rate limits, quotas, or plan gates;
- reverse engineer, resell, or provide the Service to third parties except as expressly permitted;
- scrape or bulk-extract data beyond your permitted use, or misrepresent your identity;
- use the API to systematically extract, copy, or replicate schedules, jobs, run history, or other account data or configuration in order to build, train, populate, or operate a product or service that competes with the Service, or to provide a migration or data-export service to third parties;
- circumvent, disable, or attempt to defeat the API's pagination, page-size, time-window, retention, or rate limits, or access endpoints, parameters, or data not documented for your plan.
Your own data remains yours and you may access it through the documented API within your plan's limits; these restrictions target systematic replication and competing or migration services, not ordinary use of your account. We may investigate suspected violations and take appropriate action, including suspension or termination.
Plans, billing, and taxes
The Service offers a free tier and paid subscription plans. Paid plans are billed in advance on a recurring (monthly or yearly) basis through our third-party payment provider, which may act as merchant of record. Fees are exclusive of applicable taxes unless stated otherwise, and you are responsible for such taxes. We may change pricing or plan features with prior notice; changes take effect from the next billing cycle. Refunds are governed by our Refund Policy. The free tier is provided as-is and may change or be discontinued.
Your data
You retain your rights in the data you submit to the Service. You grant Netsware a limited license to host, process, and transmit that data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.
Intellectual property
The Service, including its software, design, and content, is owned by Netsware and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. No other rights are granted.
Third-party services
The Service relies on third-party providers (for example, email delivery, authentication, hosting, bot protection, and payments). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services.
Service availability and warranties
We work to keep the Service reliable but do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
Limitation of liability
To the maximum extent permitted by law, Netsware and its partners will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid to us in the twelve months before the event giving rise to the claim, or, if you use only the free tier, a nominal amount.
Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive termination (including "Your data" through "Limitation of liability" and "Governing law") will survive.
Changes to the Service and these Terms
We may modify the Service and update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. You agree that the courts located in India will have jurisdiction over any dispute arising out of or relating to these Terms or the Service.
